Back on the 11th December 2023, pharmacy distributor Sigma Healthcare (SIG AU) announced a "transformational merger" - in effect a reverse takeover - with mega chain Chemist Warehouse (CWG).
In Sigma Healthcare (SIG AU): Chemist Warehouse's Reverse Takeover I flagged pushback from ACCC; but on balance thought the merger should still get up.

Travis Lundy struck a more tentative tone in Sigma Healthcare: ASX200 Inclusion Now, MUCH More Squeezy Fun Later. Maybe... Rightfully so it seems. The ACCC has now raised competition concerns. 


Sigma/Chemist Warehouse Merger: ACCC Has (Many) Issues

<ul>
<li>Privately-Held Chemist Warehouse’s (CWG) “transformational merger” with pharmaceutical wholesaler and franchisor <a href="https://www.smartkarma.com/entities/sigma-healthcare-ltd" target="_blank" data-smartkarma-citation="entities:15966:1" rel="noopener">Sigma Healthcare (SIG AU)</a> will result in CWG's shareholders holding 85.75% of the merged company. </li>
<li>CWG shareholders will receive A$700mn in cash plus new Sigma shares. Sigma will also undertake a $400mn equity raising to fund working capital needs.</li>
<li>Sigma has the backing of its largest shareholder HMC. The risk to completion pivots off ACCC approval. </li>

<li>This leaves <a href="https://www.smartkarma.com/entities/wesfarmers-ltd" target="_blank" data-smartkarma-citation="entities:1104:1" rel="noopener">Wesfarmers Ltd (WES AU)</a> in the driving seat - provided the ACCC is satisfied competition is not impeded.</li>
<li>The cash consideration of $1.55 under Wesfarmers' Offer will be reduced by any permitted dividend. A final fully franked dividend of A$0.02/share has been paid.</li>
