However, the inter-conditional carve-out transaction is NOT fair but reasonable. </li>
<li>ACCC clearance (findings on 6 June) is a prerequisite for FIRB approval (scheme condition). As Datasite has a limited Australian presence, ACCC approval should be forthcoming. </li>
