<li>The average premium for the new transactions announced (or first discussed) in November was ~44%. The average premium YTD is ~43%.</li>
<li>This compares to the average premium for transactions in 2023 (117 transactions), 2022 (106), 2021 (165), 2020 (158), and 2019 (145 ) of 39%, 41%, 33%, 31%, and 31% respectively.</li>

<li>The <a href="https://www.smartkarma.com/entities/amcor-limited" target="_blank" data-smartkarma-citation="entities:674:1" rel="noopener">Amcor Limited (AMC AU)</a>/<a href="https://www.smartkarma.com/entities/berry-global-group-inc" target="_blank" data-smartkarma-citation="entities:9428:1" rel="noopener">Berry Global Group (BERY US)</a> merger looks clean. However, Berry's % of earnings (revs, EBITDA, and profit), are higher than the % under the share split</li>
<li>This Temasek-led development will have a marginal impact on <a href="https://www.smartkarma.com/entities/tuya-inc" target="_blank" data-smartkarma-citation="entities:32158:1" rel="noopener">Tuya Inc (TUYA US)</a>. <li>Back on the 14th October, cleanroom play <a href="https://www.smartkarma.com/entities/cm-hi-tech-cleanroom-limited" target="_blank" data-smartkarma-citation="entities:44057:1" rel="noopener">CM Hi-Tech (2115 HK)</a> announced a pre-conditional Offer by way of a Scheme from <a href="https://www.smartkarma.com/entities/mayair-technology-china-co-ltd" target="_blank" data-smartkarma-citation="entities:44058:1" rel="noopener">MayAir Technology (688376 CH)</a> and CM Hi-Tech's senior management.</li>
<li>The pre-conditional long stop for NDRC, Mofcom and SAFE was 60 days, which appeared highly optimistic. I was wrong, and the pre-cons were secured in a legendary 18 days.</li>

The Scheme Doc is now out, with a Court Meeting to be held on the 12 December. Expected payment on the 15 January. The IFA says fair &amp; reasonable.</li>

Back on the 14th October, cleanroom play CM Hi-Tech (2115 HK) announced a pre-conditional Offer by way of a Scheme from MayAir Technology (688376 CH) and CM Hi-Tech's senior management.
The pre-conditional long stop for NDRC, Mofcom and SAFE was 60 days, which appeared highly optimistic. I was wrong, and the pre-cons were secured in a legendary 18 days.

The Scheme Doc is now out, with a Court Meeting to be held on the 12 December. Expected payment on the 15 January. The IFA says fair &amp; reasonable.


CM Hi-Tech (2115 HK): 12th December Shareholder Vote

<li>Clearly I was way too pessimistic on this deal. 60 days to secure PRC regulatory approvals appeared an unrealistic timeframe. However the pre-cons were secured in a magical 18 days. </li>
<li>Those pre-cons included NDRC, Mofcom and SAFE. Perhaps regulatory filings were lodged well before the Offer announcement. Or perhaps a small deal such as this garners less scrutiny.</li>
<li>In any event, <a href="https://www.smartkarma.com/entities/cm-hi-tech-cleanroom-limited" target="_blank" data-smartkarma-citation="entities:44057:1" rel="noopener">CM Hi-Tech (2115 HK)</a>'s Scheme is now considerably simpler/cleaner. Securing these PRC approvals may also provide a minor positive read across for other Hong Kong M&amp;A deals.</li>
