THE ongoing merger of Mapletree Commercial Trust (MCT) and Mapletree North Asia Commercial Trust (MNACT) is on track to create one of the top 10 largest Reits in Asia.

 
The merged entity, Mapletree Pan Asia Commercial Trust (MPACT) will have an estimated market capitalisation of over S$10 billion and will hold a diversified portfolio of 18 commercial assets across Singapore, China, Hong Kong, Japan and South Korea, with assets under management (AUM) of approximately S$17.1 billion.

 
The Reit managers believe that the merger will provide a pathway for growth by merging MCT, a Singapore-focused Reit, with MNACT, a ready and established platform that has scale and reach in North Asia.

 

MCT said that this will in turn bring about immediate financial benefits and access to attractive footholds into North Asia supported by established local operating teams with extensive experience and a strong track record.

 
Other key benefits cited by the Reits include enhanced financial flexibility to pursue more growth opportunities such as larger acquisitions and capital recycling opportunities, increased liquidity and index representation, enhanced geographic diversification, reduced single asset concentration and improved tenant diversification as well as immediate financial benefits in terms of distribution per unit (DPU) and net asset value (NAV) accretion on a historical pro forma basis.

 
Post-merger, MPACT will hold best-in-class assets such as Festival Walk in Hong Kong, Mapletree Business City and VivoCity in Singapore.

 

The Reit managers believe that together, these will improve overall cash flow stability and resilience through market cycles.

 
MPACT will host major tenants with global businesses such as Google, BMW, Seiko, HP Japan and NTT UD.

 
Together, the top 10 tenants by gross rental income (GRI) will contribute 23 per cent of its GRI post-merger. This is down from MCT’s 27.7 per cent and MNACT’s 37.7 per cent, reducing income concentration.

 
Unitholders of MCT and MNACT have voted in favour of the merger last month.

 
The merger will be effected through the acquisition by MCT of all the issued and paid-up units of MNACT by way of a trust scheme of arrangement.

 

During the election period, each MNACT unitholder is entitled to choose only one form of scheme consideration: scrip-only, cash-and-scrip or cash-only options. The cash-only consideration will be the default form of the scheme consideration.

 

Based on indicative dates announced by the Reit managers, the election period is expected to run from Jun 15 to 29 while the merged entity is expected to begin trading on Jul 29.

 
MNACT’s estimated date of delisting will be on Aug 3.

SEIREN CO., LTD. is a dyeing processor of filament fibers.  The Company also produces silk, synthetic fibers, and textile products used in household interior and apparel.  Seiren manufactures industrial materials including automobile interiors such as seats, air bags, and ceiling.

The Japan Wool Textile Co., Ltd. (Nikke Group) manufactures and sells woolen textiles for school uniforms, fashion and business attire, and a variety of other apparel and non-apparel goods. The Company also produces woven materials, thread and yarn for weaving and knitting, fire-resistant clothing for firefighters, and non-wool related products. Nikke operates in Japan.

DESCENTE, LTD. manufactures athletic clothing including golf wear and ski wear. The Company also manufactures tennis shoes, skies, and sports bags.

Gunze Ltd manufactures underwear, socks, outerwear, and other textile. The Company also manufactures functional materials such as plastic films, electronic materials, engineering plastics, printing machinery.  Gunze operates real estate.

ONWARD HOLDINGS CO., LTD. manufactures men's ready-made suits, women's, and children's wear.  The Company has its own brands, Onward and KUMIKYOKU. Onward also manufactures sports goods, books, stationery, cosmetics, art decoration.

KURABO INDUSTRIES LTD. mainly manufactures and sells yarns and woven fabrics made from cotton and synthetic textiles.  The Company also produces polyurethane foams, synthetic woods, inorganic building materials, adhesives, and specialty plastics.  Kurabo also has operations in information system, electronic appliances, biochemical products. and real estate leasing.

Fujibo Holdings, Inc. manufactures cotton, wool, chemical, and synthetic fibers. The Company also produces men's underwear, knit textile, apparel, household products, and industrial materials.  Fujibo Holdings develops special materials such as antibacterial and deodorant fibers.

TSI Holdings Company Ltd. manufactures men's and women's clothing, and retails women's clothing.  The Company produces and sells coats, dresses, suits, sweaters, shirts, skirts, and pants.

MORITO CO., LTD., founded in 1908 is a distributor primarily handling footwear, apparel, and wide-use materials.  The Company designs, manufactures, and distributes products such as apparel accessories, shoes materials, auto interior parts, and camera related products. The company also operates business in Europe, America, China, and Southeast Asia countries.

Billion Industrial Holdings Ltd. manufactures polyester filament yarn.  The Company produces drawn textured yarn and fully drawn yarn, which are used in apparel, footwear and home furnishings.

Arvind, Ltd. manufactures cotton textiles. The Company's products include indigo dyed denim fabrics and high quality cotton fabrics for shirts and pants. Arvind also has a network of overseas subsidiaries for manufacturing and marketing its products.

Safari Industries India Ltd. manufactures and sells travel goods.

Rajesh Exports Limited exports gold and gold jewelry. The company also has a manufacturing facility that manufactures gold. The company's product range includes, bracelets, earrings, hasli sets, necklaces, chains, kaan chains, micro hasli, bangles, rings, pendants, and patta sets.

Stella International Holdings Limited develops and manufactures footwear products for casual and fashion footwear companies worldwide.

Shenzhen Fuanna Bedding and Furnishing Co Ltd. manufactures bedding products. The Company's products mainly include printing, embroidery, and jacquard collections.

Hemp Industrial Investment Co Ltd is a fabric and clothing company.

Alok Industries Limited manufactures home textiles, apparel fabrics, garments, and polyester yarns. The Company sells its products in India and elsewhere around the world.

G-III Apparel Group, Ltd. is a manufacturer and distributor of outerwear, dresses, sportswear, swimwear, beachwear and women's suits, as well as handbags and luggage. The Company manufactures and distributes under licensed brands, their own brands, and private label brands. G-III also has licensing agreements with several sports leagues and universities.
