Considering past-performance, it seems an interesting level to set up long non-voting/short bearer shares. The Hoffman family and related holds 45% of the voting rights (shareholder pooling agreement) whilst Novartis holds 33.3% of the voting rights.



The discount in Schroders PLC (SDR LN) reflects Schroders' way of corporate governance and the influence of family control (45.4% voting rights with a 36% economic interest). The discount is now 33% (vs 34.9% by mid-December and 33.4% by mid-November), but it reached 42% on 19 May. I would set up long non-voting/short voting shares.

Over 2020, Schroders cancelled 9 mn voting shares, but only 100k non-voting. Considering the discount, it would create value cancelling non-voting stock, but the company did the opposite.

Liquid Universe of European Ordinary and Preferred Shares: December Report

<p>On <strong>19 November</strong>, the shareholders' meetings <strong>approved the mandatory conversion of savings shares into ordinary shares as well as the distribution of the extraordinary dividend.</strong></p>
<ul>
<li>The mandatory conversion of savings shares into ordinary shares, on the basis of a <strong>conversion ratio equal to 0.67 ordinary shares for each savings share</strong>.</li>
<li>As an <strong>incentive</strong>, subject to the carrying out of the conversion, the distribution of an <strong>extraordinary dividend of €0.75 for each existing and newly issued ordinary share</strong>.</li>
</ul>
<p>The <strong>rationale for the conversion</strong> is:</p>

<li>Simplifying the capital structure of Buzzi and reducing corporate obligations and costs.</li>
<li>Untangling the governance, increasing the total free float of the ordinary shares, thus allowing even greater liquidity.</li>
<li>Jumping on a trend towards simplification of the share structure of Italian listed companies, where some companies have converted their savings shares into ordinary shares.</li>
</ul>
<p>The difference advantage of the savings shares is not a large amount, just €976,800.</p>
