<p>About eight weeks ago, immediately after the Reverse Book Build Auction for the Delisting Exit Offer for <a href="https://www.smartkarma.com/entities/vedanta-ltd" target="_blank" data-smartkarma-citation="entities:514:1" rel="noopener">Vedanta Ltd (VEDL IN)</a> failed and then about 10 days after the failure I wrote a pair of insights looking at what might happen next. </p><p>In the first - <em><a href="https://www.smartkarma.com/insights/vedl-delisting-fail-day1-reading-between-the-lines-of-the-trading-data" target="_blank" data-smartkarma-citation="insights:44103" rel="noopener">VEDL Delisting Fail Day1 - Reading Between the Lines of the Trading Data</a></em> on 12 October, I pointed out six possible reactions by VEDL and VEDR (Vedanta Resources). My preferred choice was that VEDL would use the money it had raised recently to conduct an Open Offer Buyback to reduce "leakage" of the benefits of share ownership to outside parties (principally, the pass-through dividends from <a href="https://www.smartkarma.com/entities/hindustan-zinc-ltd" target="_blank" data-smartkarma-citation="entities:8688:1" rel="noopener">Hindustan Zinc (HZ IN)</a> and the 30% payout ratio of the other non-HZ businesses which are part of the Dividend Distribution Policy), using the excuse that a large percentage of the ownership had shown that they wanted to sell at INR 135-140/share.</p><p>VEDL was cheap even at the forecast depressed earnings level, and it "owed" cash to its shareholders.</p><p><em>The stock was cheap (the close that day was INR 96.95), so it was a buy. </em></p><p>Eight days later in <a href="https://www.smartkarma.com/insights/vedanta-limited-caught-in-economic-purgatory-but-governance-hell" target="_blank" data-smartkarma-citation="insights:44350" rel="noopener">Vedanta Limited - Caught in Economic Purgatory but Governance Hell?</a> I discussed the issue of VEDL having "fallen" in Dante's Inferno but might have walked itself back up through the maze to Purgatory economically, while its lending of funds to its parent Vedanta Resources represented ongoing governance faults.</p><p>Hindustan Zinc had just announced an INR 21.3/share dividend which meant VEDL "owed" INR 25+/share to its own shareholders this fiscal year as the pass-through, and while its global peers had seen both share prices and forward multiples bounce, VEDL was at its cheapest level against peers in many, many years, with ongoing desire by the VEDR parent to fix its leakage problem.</p><p><em>Governance was clearly a problem, but the stock was cheap, so it was a buy.</em></p><p>Eight weeks later, as I write, the stock is at INR 142.00. Including the INR 9.5/share dividend paid, the value to shareholders from that 12 October post-RBB failure is +56%. Including the dividend, the stock is INR 10/share higher than it got in the runup to the Reverse Book Build, </p><p>Then we got a dividend announcement from VEDL, H1 earnings, amended forecasts, an activist/complaining shareholder, and more news of funding issues and corporate action potential at the parent. </p><p>The stock is now, as I write is INR 143.55. Including INR 9.5 dividend paid, the value to shareholders from that 12 October post-RBB failure is +57% in eight weeks. </p><p>Including the previous dividend, VEDL is up single digits year-to-date. A Basket of Peers is +41% ytd. This insight discusses where we stand. </p>

<p>The <a href="https://www.smartkarma.com/entities/nifty-index" target="_blank" data-smartkarma-citation="entities:23617:1" rel="noopener">NIFTY Index (NIFTY INDEX)</a> is the flagship index of the National Stock Exchange of India (NSE). The index has 50 stocks and is a free float weighted market cap index. The next rebalance will be effective after the close of trading on 25 March 2021 and the announcement of the changes will be done four weeks prior to the effective date.</p><p>A third of the way through the review period that runs from August 2020 to January 2021, we see three stocks, <a href="https://www.smartkarma.com/entities/tata-consumer-products" target="_blank" data-smartkarma-citation="entities:258:1" rel="noopener">Tata Consumer Products (TGBL IN)</a>, <a href="https://www.smartkarma.com/entities/dabur-india-ltd" target="_blank" data-smartkarma-citation="entities:242:1" rel="noopener">Dabur India Ltd (DABUR IN)</a> and <a href="https://www.smartkarma.com/entities/godrej-consumer-products-limited" target="_blank" data-smartkarma-citation="entities:7457:1" rel="noopener">Godrej Consumer Products (GCPL IN)</a>, eligible for inclusion in the index. The three lowest ranked stocks in the index are <a href="https://www.smartkarma.com/entities/gail-india-ltd" target="_blank" data-smartkarma-citation="entities:15263:1" rel="noopener">Gail India Ltd (GAIL IN)</a>, <a href="https://www.smartkarma.com/entities/indian-oil-corp-ltd" target="_blank" data-smartkarma-citation="entities:7781:1" rel="noopener">Indian Oil Corp (IOCL IN)</a> and <a href="https://www.smartkarma.com/entities/coal-india-ltd" target="_blank" data-smartkarma-citation="entities:9117:1" rel="noopener">Coal India Ltd (COAL IN)</a>.</p><p>Given the index committee has a fair amount of discretion in selecting stocks to be included and there can be a maximum of 5 changes to the index stocks in a calendar year, we expect there will only be 2 changes in the March review.</p><p>There could be a third change if listed Futures &amp; Options (F&amp;O) are introduced on <a href="https://www.smartkarma.com/entities/dmart" target="_blank" data-smartkarma-citation="entities:23656:1" rel="noopener">Avenue Supermarts (DMART IN)</a> by the end of the review period in January. The stock is already a member of the Nifty 100 Index and the lack of F&amp;O is the only reason keeping the stock out of the index.</p><p>The expected changes will change the sector distribution of the index with all inclusions belonging to the Consumer Staples sector, and the exclusions belonging to the Energy and Utilities sectors.</p>

NIFTY50 Index Rebalance Preview - Peeking Into the Distant Future

<p>On the 30th of September, the <a href="https://www.smartkarma.com/entities/vedanta-ltd" target="_blank" data-smartkarma-citation="entities:514:1" rel="noopener">Vedanta Ltd (VEDL IN)</a> AGM took place to approve the audited financial results of the fiscal year ended 31 March and to re-appoint a certain number of directors. Voting results are linked <a href="https://www.bseindia.com/stock-share-price/vedanta-limited/vedl/500295/voting-results/" target="_blank" rel="noopener">here</a>. </p>
<p>On 1 October, <strong>Vedanta Limited</strong> reported that the promoters Vedanta Resources Limited and its indirect subsidiaries namely, Vedanta Holdings Mauritius Limited and Vedanta Holdings Mauritius II Limited, had, with the assistance of its agent KFin Technologies Private Limited, completed the dispatch of <a href="https://www.bseindia.com/xml-data/corpfiling/AttachHis/0a3309f5-7c2a-4b9e-9d5c-90c16c541dba.pdf" target="_blank" rel="noopener">Letter of Offer</a> to all public shareholders.</p>
<p>2 October saw the <a href="https://www.bseindia.com/xml-data/corpfiling/AttachLive/75e5b6d2-92f5-40f7-85bf-12a8e0cca785.pdf" target="_blank" rel="noopener">announcements</a> of the Letter of Offer along with a minor corrigendum in the newspapers.</p>
<p>On 3 October, <strong>Vedanta Limited</strong> reported its Q1 financials on Saturday 3 October, some 9-10 weeks later than normal (since the 2010-2011 year, the latest Q1 financials had ever been released was 31 July), with no good reason for the delay noted. Results came in many forms: <a href="https://www.vedantalimited.com/InvestorReports/Standalone%20Results%20June%202020.pdf" target="_blank" rel="noopener">Standalone financials</a>, <a href="https://www.vedantalimited.com/InvestorReports/Consol%20Results%20June%202020.pdf" target="_blank" rel="noopener">Consolidated Financials</a>, and a <a href="https://www.vedantalimited.com/InvestorReports/VEDL%20Results%20Presentation%20Q1%20FY2021.pdf" target="_blank" rel="noopener">Presentation</a>, but unlike prior years, there is no transcript.</p>

We use what we believe is the most comprehensive, reliable financials database, SNL Financial. S&P Capital IQ augments our database, with corporate data and CEIC, with economics.

Thematic (Sector/Industry)

<p>It is unclear which bank or NBFC will be next. <a href="https://www.smartkarma.com/entities/dewan-housing-finance-corp" target="_blank" data-smartkarma-citation="entities:8142:1" rel="noopener">Dewan Housing Finance (DEWH IN)</a> went bankrupt last year. IL&amp;FS went bankrupt the year before. This year we have <a href="https://www.smartkarma.com/entities/yes-bank-ltd" target="_blank" data-smartkarma-citation="entities:767:1" rel="noopener">Yes Bank (YES IN)</a> being nationalized or rescued or both, but effectively the same fate. It is unclear who will be next. Perhaps a bank or an NBFC which exaggerated credit growth during the past two years, with a limited amount of capital and with relatively high exposure to weak sectors? The collapse in oil prices is salt on India’s open wound - at least for lenders to oil companies with weakening financials.</p>

<p>The Government of India has been divesting its stake in Central Public Sector Enterprises (CPSE) and other public companies held by the Specified Undertaking of the Unit Trust of India (SUUTI) through the ETF route via the <a href="https://www.smartkarma.com/entities/cpse-etf" target="_blank" rel="noopener" data-smartkarma-citation="entities:28191:1">R* Shares CPSE ETF (CPSEBE IN)</a> and <a href="https://www.smartkarma.com/entities/bharat-22-etf" target="_blank" rel="noopener" data-smartkarma-citation="entities:28307:1">BHARAT 22 ETF (ICICIB22 IN)</a> ETFs.</p><p>Since launch, the <a href="https://www.smartkarma.com/entities/cpse-etf" target="_blank" rel="noopener" data-smartkarma-citation="entities:28191:1">R* Shares CPSE ETF (CPSEBE IN)</a> ETF has raised INR 665bn while the <a href="https://www.smartkarma.com/entities/bharat-22-etf" target="_blank" rel="noopener" data-smartkarma-citation="entities:28307:1">BHARAT 22 ETF (ICICIB22 IN)</a> ETF has raised INR 416bn. The AUM for the two ETFs as of the end of January 2020 is INR 90.75bn and INR 67.53bn respectively.</p><p>With the Government looking to raise funds from divestments to bridge the fiscal deficit, we look at the relevance of the ETFs in meeting this objective and identify stocks that would need to be excluded from the indices for the Government to continue with further fund offerings.</p>
