<div><p>On 22nd March 2018, after market close in Hong Kong one of the largest overnight placements was launched. On that day, <a href="https://www.smartkarma.com/entities/naspers-ltd" target="_blank" data-smartkarma-citation="entities:21085:1" rel="noopener">Naspers (NPN SJ)</a> reluctantly sold US$10bn worth of <a href="https://www.smartkarma.com/entities/tencent-holdings-ltd" target="_blank" data-smartkarma-citation="entities:26:1" rel="noopener">Tencent Holdings (700 HK)</a> shares.  <span>I say reluctantly because Naspers provided a three year lock-up at the time of the deal. <p>Rakuten’s announcement of a ¥242bn investment from Japan Post, Tencent and Wal-Mart is truly a game changer. The proceeds should get it through peak investment for mobile and enhance the value of its fulfilment expansion. It also gives Rakuten, which has looked outmatched in its competitive fight against larger rivals like Softbank/Z Holdings, a trip of powerful allies in eCommerce and fintech. The Tencent participation is particularly interesting as that company expands its own competitive fight with Alibaba. The challenge for Rakuten has not diminished but for the first time since it announced its mobile ambitions in 2017, we feel it has the resources it needs.</p>

<p>Established in 2013, Deliveroo is getting ready to complete its IPO on the London Stock Exchange in the next several weeks. Backed by <a href="https://www.smartkarma.com/entities/amazon-com-inc" target="_blank" data-smartkarma-citation="entities:409:1" rel="noopener">Amazon.com Inc (AMZN US)</a>, Deliveroo is one of the largest food delivery service companies in the U.K. Amazon owns a 16% stake in Deliveroo. The Deliveroo IPO is expected to be one of the biggest IPOs in the U.K. this year. It has been reported that the market that the company's market cap post IPO could be nearly <a href="https://edition.cnn.com/2021/03/08/investing/deliveroo-ipo-london/index.html" target="_blank" rel="noopener">$7 billion to $10 billion. </a></p><p>Deliveroo processed £4.1 billion ($5.7 billion) in total transactions on its platform in 2020, up 64% YoY. Adjusted EBITDA/GTV ratio improved significantly from -122.7% in 2019 to -2.7% in 2020. </p><div class="content-highlight"><p><strong>Comparison With DoorDash's Market Cap/GOV and Deliveroo's Implied Market Cap - </strong>DoorDash currently has a market cap of $43.7 billion. DoorDash had total marketplace GOV (gross order value) of $24.7 billion. If we divide market cap/GOV, this results in a ratio of 1.8x. If we use this multiple (1.8x) and apply it to Deliveroo's total gross transactional value of £4.1 billion ($5.7 billion), this results in an implied market cap of $10 billion for Deliveroo. </p></div>

<p><a href="https://www.smartkarma.com/entities/coupang" target="_blank" data-smartkarma-citation="entities:28425:1" rel="noopener">Coupang (CPNG US) </a>is set for IPO on 11 March 2021 at a revised-up range of USD32-34.  This is one of the blockbuster listings among the Korean companies and thrusting Coupang to the five largest companies in Korea.  There have been healthy debates on this IPO with a consensus that the valuation is very expensive, yet, Coupang appears to be set to fetch close to USD50 billion valuation.</p><p><strong>We are on the “expensive” camp and willing to wait for a better entry price.</strong> We arrived at this conclusion by focusing on direct head-to-head growth and valuation comparisons with its peer, JD.com, instead of comparing with a broad base of peers. Simply put, would you rather have JD.com or Coupang shares?  They are both mostly online retailers with nearly 90% of revenues from retail.     </p><p><strong>Coupang’s market value is priced at 67% premium to JD.com’s market value in 2015</strong> when the latter was in a similar growth stage but with higher upside potential for online consumption outlook.  The only explanation is the outlook for better growth and other considerations we discuss in this report.   </p><p>In this report, we highlight the following:</p><ol>
