Should the Scheme not be approved by unitholders, MIRA offered to buy all of VTH's assets for A$300mn in cash. The asset sale requires a reduced unitholder approval threshold.</p>

<p>The entry of  Roc Private Equity on the 26 February has lead to a two-month competitive bidding situation, culminating in this morning's Offer of <a href="https://cdn-api.markitdigital.com/apiman-gateway/ASX/asx-research/1.0/file/2924-02366483-3A565774?access_token=83ff96335c2d45a094df02a206a39ff4" target="_blank" rel="noopener">A$1.23/share</a> from MAFM.</p>

<p>This time last month, <strong><a href="https://www.smartkarma.com/entities/11075" target="_blank" data-smartkarma-citation="entities:11075:1">Capilano Honey (CZZ AU)</a></strong> announced a <a href="https://www.asx.com.au/asxpdf/20180813/pdf/43x8ccth159bym.pdf" target="_blank">Scheme Implementation Agreement</a> with Bravo - a consortium involving Wattle Hill RHC Fund and ROC Capital P/L - entitling CZZ's shareholders to $20.06/share (cash), a 28.2% premium to the last close at the time. A scrip alternative is also available on a 1:1 basis, with an option to subscribe for a further 0.5 Holdco shares for every 1 share held in CZZ, subject to scaleback.  The scheme is subject to at least 15% of shareholders electing to receive scrip and Wroxby P/L, a 20.6% shareholder, has given an irrevocable to vote in favour of the scheme and elect for the scrip alternative.</p>
<p>A counter offer could not be ruled out as negative media reports on the branding on some of its products, and a key customer announcing it will no longer stock certain honey blends, pulled down CZZ's shares price ahead of the announcement, suggesting Bravo's offer was opportunistic.</p>

<p>QAF’s 72% drop in headline net profit for 1H17 does not look pretty, but it masks the overall potential of the underlying businesses. Also, the Group recorded an exceptional gain of SGD 9.7m in 1H16 due to the sale of its 20% shareholding interest in GBKL. Excluding this, Group PBT in 1H17 decreased by only 27%. </p><p>In this article, I hope to address some of the bright spots found beyond the headline figures:</p><ol class=""><li>The bakery segment EBIT fell 41%YoY largely due to the deconsolidation of GBKL and some one-off events. With steps taken to ensure smoother production in 2H17, EBIT margins are likely to stabilize from here.</li><li>QAF is planning to list its primary production segment on the Australia Stock Exchange. Peer valuations indicate that the market is undervaluing the pork business by almost half. </li><li>The current share price weakness means that the market is overlooking the work-in-progress at its bakery, the unlocking of value at its primary production segment, and historically steady dividends. </li></ol>

<p>The Australian grocery industry continues to evolve and everyday dry groceries are likely to become even more commoditised. Aldi re-established the discount channel in Australia and is forecast to ultimately capture close to 10% market share. On this premise, we have re-examined our assumptions on market share and profitability for the Australian supermarket sector and conclude EBIT margins are expected to tighten further. Price competition has heated up as the two dominating players, <a href="https://www.smartkarma.com/entities/500" target="_blank" data-smartkarma-citation="entities:500:1">Woolworths Ltd (WOW AU)</a> and Coles, expand their everyday low price lines to preserve market share. The price cutting has resulted in food price deflation and tightening of operating margins, especially at Woolworths. Coles plans to pass on efficiency gains to consumers by ongoing price cutting, and we expect Woolworths to follow suit, effectively capping operating margins of their supermarket businesses at sustainable levels of 4%. <a href="https://www.smartkarma.com/entities/14632" target="_blank" data-smartkarma-citation="entities:14632:1">Metcash Ltd (MTS AU)</a> network of independent retailers is exposed to the same dynamics, and is continuing with its Price Match programme. However, IGA stores are less able to compete on price than their integrated competition and we expect the network to continue losing a disproportionately high amount of share. On top of the near-term challenges, we identify two conceivable longer-term threats. The potential entry of discounter Lidl or online grocer AmazonFresh, or both, would introduce further pricing tension and increase pressure on margins even more.</p><p>These key changes lowered <a href="https://www.smartkarma.com/entities/500" target="_blank" data-smartkarma-citation="entities:500:1">Woolworths Ltd (WOW AU)</a>' fair value estimate to AUD 22 from AUD 28. Coles plans to pass on efficiency gains to consumers by ongoing price cutting, and we expect Woolworths to follow suit, effectively capping operating margins of their supermarket businesses at sustainable levels of 4%. Metcash Ltd (MTS AU) network of independent retailers is exposed to the same dynamics, and is continuing with its Price Match programme. However, IGA stores are less able to compete on price than their integrated competition and we expect the network to continue losing a disproportionately high amount of share. On top of the near-term challenges, we identify two conceivable longer-term threats. The potential entry of discounter Lidl or online grocer AmazonFresh, or both, would introduce further pricing tension and increase pressure on margins even more.These key changes lowered Woolworths Ltd (WOW AU)' fair value estimate to AUD 22 from AUD 28.
