Monsanto India Limited has informed the Exchange regarding Notice published in the Newspaper - Intimation about the Revised Record Date of the Scheme of Amalgamation of Monsanto India Limited (the "Transferor Company/MIL") with Bayer CropScience Limited (the "Transferee Company/BCSL") and their respective shareholders, under sections 230 to 232 of the Companies Act, 2013 (the "Scheme")

Monsanto India Limited manufactures a wide variety of agricultural chemicals and other specialty chemicals. The Company develops high yield crop varieties and hybrid crops such as corn, sunflower, and cotton. Monsanto also sells specialty chemicals, animal health and agricultural products as an indenting agent for Monsanto Company Inc.

The company has now inform the exchange that the fixed Record Date as September 30, 2019 for the purpose of determining the shareholders of Monsanto India Limited who shall be entitiled to receive shares of the Company, as consideration pursuant to the Scheme.

Monday, September 16, 2019 has been fixed as the Effective Date of the Scheme, on which date the certifed copy oft he NCLT order will be filed by the Company and BCSL with the Registrar of Companies, Mumbai.Copy of this intimation is also available on the Company's website at www.monsantoindia.com.We request you to kindly take this on record.

We are pleased to inform you that the Mumbai Bench of the National Company Law Tribunal has on September 13, 2019 conveyed its approval for the Scheme of Amalgamation of Monsanto India Limited with Bayer CropScience Limited and their respective shareholders, under sections 230 to 232 of the Companies Act, 2013. The certified copy of the Order along with the Scheme dated September 13, 2019 sanctioning the Scheme is received today i.e. on September 13, 2019.The Scheme shall become effective upon filing certified copy of the Order along with the Scheme with the Registrar of Companies, Mumbai and a copy of the same is attached with this letter for your information.We request you to kindly take the above information on record.
