With a little help from the Bank of Japan, Japanese equities are only 11% below the December peak, despite a ten-year low in corporate earnings and the prospect of much worse in that regard in the coming months. Companies have retained staff, and consumer confidence has fallen less than in other developed economies. Production lines were not shut down, resulting in a GFC-like spike in the inventory ratio. The stable Yen will make it harder for exporters to the developing world to clear the stockpiles. </div><p><strong>CLOSURE</strong> - As the fashion amongst Japanese companies is not to make any full-year forecasts, there has been little change in our forecast-based metrics over the last week. Trailing-twelve-month (TTM) profits declined by ¥3 trillion and ¥2.5 trillion at the operating and net levels, respectively, over the week - closing the 'gap' to forecast considerably. There is still some upside to the market multiple from the numerator. For the time being, however, liquidity rules.</p><div><p>In the <strong>DETAIL </strong>section below, we shall review Friday's announcements:-</p></div><div><ul>
<li>The balance between positive/neutral/negative of the 106 results announcements was 52:4:50. The average change in Results Score was -1.2.</li>
<li>For the 49 revisions/initial forecasts, the split was 10:1:38, and the average Forecast/Revision Score was -10.0. Again, only one-third of companies reporting full-year results chose to make current year forecasts. </li>
<li>As this highly-unusual disclosure period slowly winds down (7% of market cap has yet to report almost two months after books closed), 57 companies will announce results on Monday. <p>On April 7, <a href="https://www.smartkarma.com/entities/hitachi-ltd" target="_blank" data-smartkarma-citation="entities:7797:1" rel="noopener">Hitachi Ltd (6501 JP)</a> announced the <a href="https://www.hitachi.com/New/cnews/month/2020/04/f_200407.pdf" target="_blank" rel="noopener">results</a> of its Tender Offer for <a href="https://www.smartkarma.com/entities/hitachi-high-technologies-co" target="_blank" data-smartkarma-citation="entities:7046:1" rel="noopener">Hitachi High Technologies Co (8036 JP)</a> which was that Hitachi had lifted its position to 124.525mm shares or 90.55% of voting rights. </p><p>That means that Hitachi has cleared the required 90% to commence (once settlement has occurred) the procedures for delisting and fast-track squeezeout.</p><p>The residual 9.45% is the largest squeezeout residual I can remember at ¥103.3bn. </p>

On April 7, Hitachi Ltd (6501 JP) announced the results of its Tender Offer for Hitachi High Technologies Co (8036 JP) which was that Hitachi had lifted its position to 124.525mm shares or 90.55% of voting rights. That means that Hitachi has cleared the required 90% to commence (once settlement has occurred) the procedures for delisting and fast-track squeezeout.The residual 9.45% is the largest squeezeout residual I can remember at ¥103.3bn.

<p>After the news that at long last, with "all of Japan rooting for it to return to the First Section of the TSE" because of its status as Japanese icon - the reason why it could not be delisted - that the TSE would allow it to return to the TSE First Section and the company had applied, we now have other news suggesting the possibility of delisting the company anyway.</p><p>That is a head-scratcher in concept to many, but it has its merits.</p><h2>NEW News Number Two, Yesterday</h2><p>Yesterday, a somewhat obscure Japanese "business and politics" monthly magazine called <em>Sentaku</em> (選択), which works off a kind of "membership system" carried an article titled <em>"Toshiba: Kurumatani's Astonishing MBO Scheme: Will He Be Able to Expel Noisy Shareholders?" (東芝・車谷が「MBO」画策の仰天: 物言う株主「放逐」は叶うか).</em></p><p>This is at a time surprising, and not surprising. It is surprising because he has repeatedly said that the reconstruction of the company will take 5 years, and the goal was an 8% OPM in FY2023. He has ignored calls for it to be taken over because Toshiba is an "icon" and could not disappoint the Japanese people - and indeed Toshiba is <em>still</em> one of Japan's most widely-held stocks even after seeing its shareholder count drop by 30-40% since the peak. He has at times shown frustration with his majority foreign ownership, and at times noted that the governance oversight they provide is helpful (but anyone looking more closely will know that he has wanted to get rid of them since he arrived). </p><p>It is not clear why. <em>Gaiatsu</em> (outside, or foreign pressure) is a time-honored scapegoat when unpleasant conclusions like restructuring and putting employees on the street) need to be accomplished. Significant foreign ownership in this case can be blamed for things that Kurumatani-san would rather not have his name attached to. A Japanese/passive shareholder base would likely not urge him to do the things he sees probably needs to get done. It is not a matter of shareholders tolerating or not tolerating his aggressive management actions. It is a matter of shareholders publicly urging or requiring a faster move to get Toshiba to where it needs to go. </p><p>So.... <em>Is there a serious chance at an MBO? Why consider an MBO? What is in it for Toshiba? What is in it for Kurumatani-san? What's in it for the existing shareholder base?</em></p><p>It is worth a serious discussion, so I try to entertain one below.</p>
