Baptista Research is an independent financial research house focused on the U.S. markets. We provide equity research as well as credit research reports on the top-listed U.S. companies with most of our focus on technology, consumer goods and services, automobiles, industrials, oil and gas, pharma, and healthcare. Baptista Research is owned and managed by Ishan Majumdar, an ex-Venture Capitalist/ Investment Banker, a Chartered Accountant, and a Masters’ degree holder in Management from HEC Paris. Ishan has nearly a decade of experience in Mergers and Acquisitions, Leveraged Buyouts (LBOs), Venture Capital Investing, Corporate Strategy, and Valuation in front-office roles at the likes of BNP Paribas CIB, Credit Agricole CIB, Groupe Danone, and TIW Private Equity. He has worked on and closed multiple acquisition deals, leveraged buyouts, and start-up investment transactions.

The predecessor company, SciClone US, listed on NASDAQ in March 1992 and was subsequently privatised and delisted in October 2017. SciClone is pre-marketing a Hong Kong IPO to raise $500 million, according to press reports. </p><div class="content-highlight"><p>SciClone is a less than ideal IPO candidate. Despite efforts at diversification, SciClone is highly dependent on a single product, Zadaxin, which was launched in 1996. Commendably, Zadaxin sales have increased despite several challenges, including generic competition, changes in reimbursement policies and the centralised tender processes. However, the risk to Zadaxin’s sales remains undiminished. The large pre-IPO dividends by existing shareholders in face of these challenges also sends the wrong message to potential IPO investors. Overall, on a fundamental basis, we are inclined to give this IPO a pass. </p></div>

China Biologic shares jumped 10% to $114 per ADS, which is 5% below the bid price. </p><div class="content-highlight"><p>The latest privatisation bid follows privatisation offers in July (withdrawn) and August 2018 (rejected). Overall, we believe that the bid is unattractive and faces several hurdles. </p></div>
